不良率占一年內總出貨量的千分之五應是合理範圍,超過者,以補足差數為條件,或採折讓方式,由下次出貨金額中扣除.

不良率在上述不良率範圍內,由乙方拍照傳回甲方存證後銷毀,也可寄回維修,但費用乙方自行負擔,超過不良率,則由甲方全數負擔!

最後一段後面再加上

超過不良率部份,經調查為甲方過失,則由甲方倍數賠償乙方損失.

不良率太高,表示品質控制不當,當然是甲方要負責來回運費(round trip transportation fee)

倍數賠償應該說是一台賠一台囉! (只是多補備品一片主機板而以,也還好啦! )

一次出貨量達100台會有一台備品( spears ),但最多到三台

那才今年電腦展推出正在promopt階段捏~

合約是針對 原有敝司原有的崁入式迷你工業電腦(一台不到一萬元而以啦)慘~剛起步小公司只能薄利多銷求生存~苦哈哈

崁入式點餐系統(embedded POS system), 只是剛推出,這是敝司原有的崁入式迷你工業電腦,台灣科技小公司只能先在大公司夾縫中先存生存囉!

首先感謝 "大師" 的補充,跟老翻哥合成了一百分囉! 也謝謝"呆子" 也翻得佷好,但因為這是要和客戶簽定條約的,要蓋兩家公司的合約章,所以 老翻哥的正式寫法,比較切題

真的感謝大家贊助~因為一人兼五人工作,實在太忙了,沒有時間去投票增加點數或幫人解答問題!

    A defect rate of 5% out of annual shipment quantity should be considered acceptable. In case that it is in excess of 5%, seller agrees to replenish the equivalent quantity of the percentage difference or offer an equivalent rebate off against next payables.

    In the case of acceptable defect rates, either can buyer take and send seller photographs of defective products as evidence and then proceed to dispose of them, or has them shipped back for repairing on the condition that buyer should pay the return shipment charges. When defect rates are higher than 5%, shipping costs should be completely covered by seller alone.

    最後一段太模糊了,不會翻,是誰來調查?雙方認可的公正第三方?倍數賠償是幾倍?哪一種損失?直接損失?間接損失?不說清楚,小心被對方獅子大開口!

    老翻哥已經翻得很好, 稍作補充:

    1. 不良率是 0.5% (千分之五)

    2. 折讓扣款: 常用是 credit back from next payment

    3. 寄回維修,但費用乙方自行負擔 => 要說明是

    來回運費(round trip transportation fee)?

    還是單程運費? (甲乙雙方各付一程?)

    維修費用誰付?

    4. 貨品單價必然很低,才會有存證後銷毀之條件. 既然如此,表示寄回維修划不來,光是運費可能都比物品單價高.

    千分之五既然客戶可以接受, 我建議條件修改如下:

    1. 千分之五內,來回運費客戶負擔, 維修零件甲方付.

    2. 超過千分之五,來回運費,維修零件全由甲方支付

    3. 1% of free stock, no more than 3 units of free stock should be kept in client site.

    通常備品稱為"free stock", 因為所有權還是你的,只是放在客戶端.

    Eva, 看過你的知識+, 估計這產品應該是崁入式點餐系統(embedded POS system), 合約內千萬不要答應客戶將不良品拍照銷毀. 這類系統不良非常容易修護, 若含LCD屏造價也在百元美金左右, 值得後送維修.

    it is reasonable that the Defective Rate of total delivery goods is under 0.5 %. if it is over the standard, to append the difference is allowed or the allowance is permitted ,which will be substracted from the next payment.

    不良率在上述不良率範圍內,由乙方拍照傳回甲方存證後銷毀,也可寄回維修,但費用乙方自行負擔,超過不良率,則由甲方全數負擔!

    if the Defective Rate of total delivery goods is under 0.5 %, buyer could take pictures for certification and then destroy it, or return it to the manufacture for maintenance.but the maintenance fee should be charged on buyer.if the Defective Rate is over 0.5 %,the manufacture should take care of it.

    超過不良率部份,經調查為甲方過失,則由甲方倍數賠償乙方損失

    if the Defective Rate is caused by buyer under investigation,buyer should compensate the loss of the manufacture. -------
