國外 purchasing contract 的問題 急~~

最近國外客戶ABC來信為 long term business 要我們簽合約, 我覺得以下條款有些疑問, 請問要怎樣調整才合理??

# REVISIONS OF PURCHASE ORDER

When necessary, ABC may make revisions or changes of any the contents or price and/or delivery schedule are caused by such amendment, ABC and Supplier shall discuss and reach the decisions.

我們通常的做法是下訂後就不能砍單的,尤其是客製的東西,但若有需要是可以分批出貨,而且已經下的訂單價格怎麼還能再改?這樣的訂單不是很沒保障嗎?

#PAYMENT

 ABC shall make payment to Supplier in a method prescribed by ABC, at the place and on the payment day as indicated by ABC. In principle payment are to be made in cheque or cash. 

以上是什麼意思ㄋ,對方若要開支票我們應該無法用ㄅ~

    根據國際貿易通例,連信用狀修改都必須受益人同意才有效,就是防止買方惡意毀約。在產品滯銷或原料跌價時,買方惡意修改單價或出貨條件,讓賣方無法出貨或賠本。如果是熟客也許還可以考慮較苛刻的付款條件,如果是新客戶,支票或出貨後付現,是難以接受的。但更改價格或規格根本無法讓人接受。因此產生的額外費用要誰來支付?國內標如果更改規格,都可以合理向公家要求加價的。何況國外交易。你們如果堅持不得改價格和產品規格,堅持付款條件,客戶沒有理由不接受。
