Helium, being lighter than air, allows the volcal cords to vibrate at a higher frequency than air allows, which in turn changes the frequency of the person's voice. This works for both men and women.

Actually it will also change the voice of a woman, I think that it constricts something in the voice box, but I am not a doctor so I really don't know maybe since helium is lighter then standard air sound particles change from the point of origination

Inhaling a small amount of the gas temporarily changes the frequency of a person's voice; however, caution must be exercised as helium is an asphyxiant.

Its an asphyxiat, it doesn't allow you to breath properly. So when you breath it in you are in essence choking yourself.
